1. Acceptance of Terms

By accessing or using Zursum ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Zursum is an AI-powered platform that helps users practice difficult conversations through voice-based roleplay simulations. The Service includes:

  • AI-powered conversation simulations with realistic personas
  • Voice interaction using natural language processing
  • Personalized feedback and communication analysis
  • Progress tracking and skill development tools
  • Team and organization management features (for business accounts)

3. Eligibility

You must be at least 18 years old to use the Service. By using Zursum, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

4. User Accounts

To access certain features, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe may harm other users or the Service.

5. Subscription and Payments

5.1 Subscription Plans

Some features require a paid subscription. Current plans and pricing are available on our pricing page. Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan you choose.

5.2 Credits System

The Service uses a credit-based system for certain features. Credits may be included in your subscription or purchased separately. Credits typically expire at the end of each billing cycle unless otherwise specified.

5.3 Billing and Renewal

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You authorize us to charge your payment method on file for recurring fees
  • You are responsible for all applicable taxes
  • Price changes will be communicated at least 30 days in advance

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You retain access to paid features until the end of your current billing period
  • Unused credits at the time of cancellation are forfeited
  • Refunds are generally not provided for partial billing periods

6. Acceptable Use

You agree to use the Service only for lawful purposes. You agree NOT to:

  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to harass, abuse, threaten, or harm others
  • Share your account credentials or allow others to access your account
  • Upload malicious code, viruses, or harmful content
  • Scrape, crawl, or use automated means to access the Service without permission
  • Reverse engineer, decompile, or attempt to extract the source code
  • Use the Service to develop competing products or services
  • Circumvent usage limits, credits, or other restrictions

7. User Content and Licensing

7.1 Your Content

You retain ownership of any content you submit to the Service, including conversation scenarios, feedback text, and other materials ("User Content").

7.2 License Grant

By submitting User Content, you grant Zursum a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

7.3 Content Guidelines

You represent that your User Content:

  • Does not violate any applicable laws or regulations
  • Does not infringe any third-party intellectual property rights
  • Does not contain malicious code or harmful content
  • Does not violate the privacy of others

8. Intellectual Property

The Service, including its software, design, features, content, and trademarks, is owned by Zursum and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. AI-Generated Content

The Service uses artificial intelligence to generate responses, feedback, and analysis. You acknowledge that:

  • AI-generated content may not always be accurate, complete, or appropriate
  • AI responses are generated based on patterns and should not be considered professional advice
  • You should use your own judgment when applying feedback to real-world situations
  • Zursum is not responsible for decisions you make based on AI-generated content

10. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their terms.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Any defects will be corrected
  • The Service will meet your specific requirements
  • AI-generated feedback will be accurate or suitable for any particular purpose

Important: Zursum is NOT a substitute for professional mental health services, therapy, counseling, or medical advice. If you are experiencing mental health issues or crisis situations, please seek help from a qualified professional or contact emergency services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZURSUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zursum and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your User Content

15. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also update these Terms from time to time.

Material changes will be communicated through the Service or via email. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

16. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • You may request export of your data in accordance with our Privacy Policy
  • We may delete your account and data after a reasonable retention period

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zursum
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver
  • Assignment: You may not assign your rights under these Terms without our consent
  • Notices: We may send notices via email or through the Service
